1. Introduction

Welcome to OMNIA-I, operated by MEND Kuwait ("we," "our," or "us"). These Terms and Conditions ("Terms") govern your use of our all-in-one business ecosystem platform and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

2. Service Description

OMNIA-I provides an integrated business management platform that includes:

• Point of Sale (POS) System
• Inventory Management
• E-Commerce Platform
• Accounting and Financial Management
• Service Booking and Scheduling
• Unified Order Management
• Additional modules and features as developed

3. User Obligations

As a user of OMNIA-I, you agree to:

• Provide accurate and complete information during registration
• Maintain the security of your account credentials
• Use the Service only for lawful business purposes
• Not attempt to access unauthorized areas of the Service
• Not interfere with or disrupt the Service or servers
• Comply with all applicable laws and regulations
• Not resell or redistribute the Service without permission

4. Account Registration

To use certain features of the Service, you must register for an account. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

5. Payment Terms

Payment for OMNIA-I services is processed according to the plan you select:

• Free Plan: No payment required, limited features
• Paid Plans: Billed monthly or annually as selected
• Payments are processed securely through Tap Payments
• All fees are in Kuwaiti Dinar (KWD) unless otherwise stated
• Prices are subject to change with 30 days notice

6. Subscription Terms

Subscriptions automatically renew at the end of each billing period unless cancelled. You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of the current billing period.

7. Intellectual Property

The Service, including all content, features, and functionality, is owned by MEND Kuwait and is protected by international copyright, trademark, and other intellectual property laws.

You retain ownership of your business data. We claim no intellectual property rights over the material you provide to the Service. Your data remains yours.

8. Limitation of Liability

To the maximum extent permitted by law, MEND Kuwait shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business interruption.

Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

9. Termination

We reserve the right to suspend or terminate your access to the Service:

• For violation of these Terms
• For non-payment of fees
• If required by law
• At our discretion with 30 days notice

Upon termination, you may export your data for a period of 30 days.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Kuwait, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Kuwait.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the modified Terms.
